NOTICE OF ANNUAL GENERAL MEETING OF MEMBERS

MOTOR CITY COMMUNITY CREDIT UNION LIMITED

June 25, 2025

NOTICE IS HEREBY GIVEN that the Annual General Meeting of the Members of Motor City Community Credit Union Limited (the “Credit Union”) will be held at the following time and in the following place, for the purposes set out below:

Meeting Date, Time, and Place:
1.   Members of the Credit Union will meet at the Water’s Edge at 2879 Riverside Drive East, Windsor,
      Ontario on Wednesday, June 25, 2025.  Registration starts at 5:30 p.m., the meeting will start promptly at
      6:00 p.m.

Purpose:

The purpose of this meeting is to:

  1. Deliver the report of the Board of Directors and the Chief Executive Officer’s report; the financial statements; Auditors’ Report and the Audit Committee’s Report. The financial statements and the Reports of the Auditor and the Audit Committee will be available at the branches of the Credit Union at least ten (10) days before the meeting;
  2. Appoint the Auditor. Note that the Audit committee will be recommending a change in auditor from Baker Tilly LLP to MNP LLP as a result of its usual process;
  3. Announce the results of the election for three Directors; and
  4. Transact such other business as may properly come before an annual meeting of Members.

Points A, B and C above will be voted on during the voting period.

Election of Directors:

There will be an election of Directors.  As required by the Credit Union’s by-laws, this election will be conducted by way of in-branch and electronic voting conducted prior to the Annual General Meeting, with the results being announced at the Annual General Meeting.   Three vacancies are to be filled for a three-year term each.

The five candidates standing for election to the Board of Directors of the Credit Union are as follows:

Pursuant to section 2.05 of the Credit Union’s by-laws, Members who, as of May 22nd, 2025, are in full compliance with the membership share requirements of section 2.03 of the Credit Union’s by-laws and who, if they are individuals, are at least 18 years of age, may vote.  An eligible Member (OTHER THAN AN ENTITY, WHICH MUST CAST ITS BALLOT IN-BRANCH) may cast his/her/their/its ballot during the voting period outlined below at the Tecumseh East branch or Marketville branch of the Credit Union during its regular business hours, or on-line by accessing the Credit Union’s web site at www.mcccu.com, but may cast only one ballot using only one of these voting methods.

The voting period commences at 9:00 a.m. on Friday, June 6th and ends on Friday, June 20th, 2025 at 5:00 p.m.

Eligible Members may receive and cast a ballot during the voting period by attending the following branch of the Credit Union during regular business hours (9:30 a.m. to 5:00 p.m. Monday to Wednesday and Friday and 9:30 a.m. to 6:00 p.m. on Thursdays), informing any Motor City Community Credit Union staff that they wish to vote, and then being set up on a computer to access the online voting to cast their ballot:

Electronic ballots may be cast by eligible Members who are individuals and not entities during the voting period by accessing the Credit Union’s web-site at www.mcccu.com, clicking on the “vote online” text under the heading “AGM 2025” which appears on the home page of that web-site, logging in using their member number and birthdate, and then following the instructions set out on that web-site to cast the Member’s ballot.

Notes:

  1. Members who are “natural persons” must be present personally at the meeting to vote. Members who are “legal persons” (i.e., corporations, partnerships) may vote by proxy.  No person may hold more than one proxy.
  2. Only Members in good standing according to the records of the Credit Union as of May 22nd, 2025 (the “Record Date” according to the Credit Union’s by-laws), shall be entitled to vote at the meeting.
